Terms of Service

Acceptance of Terms

By accessing or using the TensorRail platform and related services (“Services”) provided by Krizan Elsharaky Solutions Ltd (“TensorRail”, “we”, “us”, “our”), you agree to be bound by these Terms of Service (“Terms”). If you are using the Services on behalf of a company or other entity, you represent that you have authority to bind that entity. If you do not agree to these Terms, do not use the Services.

Description of Service

TensorRail provides payment orchestration technology. We do not process, hold, store, or transmit funds. We route payment instructions between merchants and their chosen payment service providers (processors) via our API. Merchants contract directly with processors for payment processing and are responsible for their own processor agreements.

Merchants provide their own processor credentials, which TensorRail stores in encrypted form and uses solely to route transactions on the merchant’s behalf. TensorRail does not act as a payment processor, acquirer, or money transmitter.

In certain arrangements, TensorRail may also facilitate payments through managed processor relationships, where TensorRail maintains the processor account and merchants process through TensorRail's infrastructure. In such cases, TensorRail acts as a technology intermediary and does not hold, process, or disburse funds — all fund flows remain between the processor and the payout destination configured by the merchant.

Account Registration

You must provide accurate and complete company and contact information when registering. You are responsible for maintaining the security of your account and credentials. You must be a legally registered business (or equivalent) to use the Services. We may verify your identity and business details and suspend or terminate accounts that do not meet our requirements.

Merchant Obligations

You must comply with the terms of each processor you connect through TensorRail and with all applicable payment, anti-money laundering, and consumer protection laws. You must ensure that your use of payment services is lawful and that you do not use TensorRail for prohibited activities as set out in our Acceptable Use Policy. You must maintain valid processor agreements and ensure that the credentials you provide are authorized for use with TensorRail.

Processor Credential Handling

Your processor credentials are encrypted at rest using industry-standard encryption and stored in isolated, access-controlled environments. They are used exclusively to execute payment operations on your behalf and are never shared with other merchants or third parties except as necessary to perform the Services. You may revoke or rotate credentials at any time via the dashboard or API. Upon termination of your account, we will delete your stored credentials within 30 days.

Fees and Payment

Fees and charges are as agreed in your Master Services Agreement and as set forth in your Fee Schedule. We bill in arrears on the cadence specified in your agreement. We may update fees with at least 30 days’ prior notice. Continued use after the effective date of a fee change constitutes acceptance.

Service Availability

We target high availability for the TensorRail platform. We will use reasonable efforts to provide advance notice of scheduled maintenance. We are not responsible for downtime or failures of processors or other third-party services, and our obligations are limited to the availability of our own platform.

Intellectual Property

The TensorRail platform, APIs, documentation, and all related intellectual property remain our property or our licensors’. You retain ownership of your data. We grant you a limited, non-exclusive, non-transferable license to use the platform during the term of your agreement, subject to these Terms.

Limitation of Liability

TensorRail is a technology orchestration provider, not a payment processor. We are not liable for processor actions, payment declines, fund movements, or any loss arising from the use of third-party processors. To the maximum extent permitted by law, our total liability for any claim arising out of or related to these Terms or the Services shall not exceed the fees paid by you to TensorRail in the 12 months preceding the claim. We are not liable for indirect, consequential, incidental, or punitive damages.

Indemnification

You agree to indemnify and hold harmless TensorRail and its affiliates, officers, and employees from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Services, your breach of these Terms, your violation of any law, or any claim by a processor or third party related to your use of the platform or your processor relationships.

Termination

Either party may terminate the agreement with 30 days’ written notice. We may terminate immediately for material breach, violation of the Acceptable Use Policy, or non-payment. Upon termination, your right to use the Services ceases. We will delete your processor credentials within 30 days of termination, subject to any longer retention required by law.

Governing Law

These Terms are governed by the laws of the Republic of Cyprus. Any dispute shall be subject to the exclusive jurisdiction of the courts of Limassol, Cyprus.

Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.

Entire Agreement

These Terms, together with your service agreement and our Acceptable Use and Privacy policies, constitute the entire agreement between you and TensorRail regarding the Services and supersede any prior agreements or understandings.

Amendments

We may amend these Terms from time to time. We will notify you of material changes by email or through the platform. Continued use after the effective date of changes constitutes acceptance.
